1. About SimpleDMS

SimpleDMS provides dealer management software, CRM tools, dealer websites, vehicle data tools, auction data tools, and integrations with third-party platforms.

2. The SimpleDMS Service

SimpleDMS provides software tools including dealer management, CRM, vehicle stock management, dealer websites, auction data, vehicle data, integrations, reporting, and analytics tools.

SimpleDMS provides software only and is not involved in vehicle transactions, finance agreements, vehicle sourcing, or dealer business operations.

3. Accounts

Users must keep login details secure and are responsible for all activity under their account including staff access.

SimpleDMS may suspend or terminate accounts for misuse, non-payment, or breach of these terms.

4. Subscription & Payments

SimpleDMS operates on a monthly subscription basis billed in advance. By subscribing, you authorise recurring payments using your chosen payment method.

The subscription is for access to the SimpleDMS platform as a whole, not for any individual feature, integration, auction source, data source, or tool.

Features, integrations, data providers, auction sources, and tools may change, be updated, be restricted, be removed, or be replaced at any time as the platform develops and as third-party services change.

If a payment fails, we may retry the payment. Access to the platform may be restricted until payment is successful.

You may cancel your subscription at any time. Access will continue until the end of the current billing period. No refunds are provided for partial months.

SimpleDMS reserves the right to change pricing with notice. Founding pricing, where agreed, will remain in place while the account remains active.

5. Dealer Websites

Dealers are responsible for their website content, listings, pricing, legal compliance, and customer communications.

SimpleDMS is not responsible for website downtime, lost enquiries, SEO performance, hosting interruptions, or content uploaded by dealers.

6. Third-Party Integrations

SimpleDMS integrates with platforms such as AutoTrader, CarGurus, finance providers, payment providers and other third-party services.

We are not responsible for downtime, feed failures, listing errors, API changes, data issues, service interruptions, or third-party platform problems.

Third-party integrations may change, be suspended, be restricted, or be removed at any time without affecting the validity of any subscription, contract, or payment obligation owed to SimpleDMS.

7. Auction Intelligence, Auction Data & Vehicle Data

Auction data, vehicle data, valuations, market insights, auction intelligence, and BuySmart calculations are provided for guidance only.

These services may rely on third-party data sources, third-party providers, and internal analysis tools, all of which may change, be unavailable, be restricted, or be removed at any time.

SimpleDMS does not guarantee the availability, continuity, accuracy, completeness, or ongoing inclusion of any auction house, auction source, vehicle data source, valuation source, or intelligence feature.

If auction intelligence, auction data, vehicle data, individual auction feeds, or related intelligence tools are changed, interrupted, removed, or no longer available, this will not affect the validity of any subscription, contract, or payment agreement with SimpleDMS.

SimpleDMS is not responsible for buying decisions, valuations, pricing decisions, stock decisions, or financial decisions made using this data.

8. Limitation of Liability

SimpleDMS shall not be liable for loss of profit, loss of business, loss of revenue, loss of data, website downtime, lost leads, integration failures, incorrect data, valuation differences, missed sales, missed opportunities, or indirect losses.

Total liability is limited to the amount paid by the customer in the previous 12 months.

9. Service Availability

We aim to keep SimpleDMS available at all times but do not guarantee uninterrupted service. Maintenance, updates, outages, provider issues, or third-party failures may affect availability.

10. Changes to Terms

We may update these Terms from time to time. Continued use of SimpleDMS after changes means you accept the updated Terms.

11. Governing Law

These terms are governed by the laws of England and Wales.

These Terms are provided as a practical business foundation for the SimpleDMS platform and should be professionally reviewed by a qualified solicitor for formal legal sign-off.
